Competition in Canada’s telecommunications industry has always been strongly debated. The main telecom companies—namely, Rogers Communications Inc. (Rogers), Bell Canada (Bell), Telus Communications Inc. (Telus), and Shaw Communications Inc. (Shaw)—viewed competition in Canada as already intense. Combined with the advent of expensive fifth-generation (5G) technology investments and amid rising capital expenditure and declining shareholder value, and with an interest in entering new geographical markets, the merger between Rogers and Shaw was announced in March 2021. The proposed merger was valued at CA$26 billion and immediately sparked debate.
While Rogers and Shaw highlighted potential benefits such as improved network coverage, enhanced competition, and cost savings, consumer advocates expressed concerns about reduced competition, higher prices, and limited choice for consumers. The proposed merger also faced scrutiny from regulatory bodies, including the Competition Bureau (Bureau), which raised anti-trust concerns. Rogers and Shaw made their case in favour of the merger before various regulators and promised to ramp up investment in connecting rural regions across Canada. The crucial issue in the review process was to determine whether the proposed merger would substantially prevent or reduce competition in Canada’s telecom market. However, crucial questions remained unresolved: Would the merger truly yield a more competitive and consumer-friendly telecom market? Was it time to reform Canada’s competition laws to better equip the Bureau with the necessary tools to stop anti-competitive mergers that it found to be against the public interest?
