Conventional agency theory?perceives executive power as inherently problematic. In contract, this article presents the managerial rent model—a framework positing that power becomes problematic solely when exercised without commensurate ability. By analyzing divergent situations, the author demonstrates how comparable degrees of executive autonomy yield markedly different outcomes, contingent upon leaders’ competencies and governance frameworks. This paper delineates three strategic governance actions that boards may adopt: evaluating CEO competence beyond traditional metrics, adjusting governance rigor to align with strategic context, and establishing accountability through systematic compensation structures. These strategies enable boards to harness the transformative power of executive authority while mitigating its associated risks. Using case studies, empirical evidence, and practical frameworks, the complex relationship between power, ability, and business performance is examined to provide insights for directors, executives, and investors. The analysis suggests that, in the current disruptive corporate landscape, the problem lies not in limiting leadership but in facilitating it through advanced governance that distinguishes between constructive and extractive applications of executive authority.
