The case provides a description of shareholder activism in December 2024 at CE Info Systems Ltd. (MapmyIndia), India’s leading deep-tech digital map company, over its plan to hive off business-to-consumer (B2C) services to a newly formed promoter-owned company without a proper return for minority shareholders. The new company will be headed by Rohan Verma, CEO and executive director of MapmyIndia, and supported by a significant investment from MapmyIndia. As a part of the deal, MapmyIndia will hold a 10 per cent equity stake in the new company, with Rohan holding the other 90 per cent.
